1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Pulsac, a business management platform operated by Makhaniel Innovations Ltd ("Pulsac," "we," "us," or "our").

By accessing or using Pulsac, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our services.

2. Eligibility

To use Pulsac, you must:

  • Be at least 18 years old
  • Be a business owner, authorized representative, or employee of a business entity
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our services under Nigerian law

By creating an account, you represent and warrant that you meet these requirements.

3. Account Registration

Account Creation

To access Pulsac, you must create an account by providing:

  • Valid email address
  • Strong password
  • Business information (name, type, contact details)

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

Account Types

Business Owner Account:

  • Full access to all features
  • Can invite and manage staff members
  • Responsible for billing and account management
  • Can export data and close the account

Staff Account:

  • Limited to permissions granted by the Business Owner
  • Cannot access billing or account settings
  • Subject to the Business Owner's data policies

Account Security

You must:

  • Use a strong, unique password
  • Enable multi-factor authentication when available
  • Never share your login credentials
  • Log out from shared or public devices

We are not responsible for unauthorized access resulting from your failure to secure your account.

4. Pulsac Services

Service Description

Pulsac is a cloud-based business management platform that provides:

  • Client management and CRM
  • Sales tracking and invoicing
  • Expense tracking and financial reporting
  • Appointment scheduling
  • Inventory management
  • SMS notifications and reminders
  • Offline data synchronization
  • Multi-user collaboration

Service Changes

We may:

  • Add new features or modify existing ones
  • Update pricing (with 30 days' notice for paid plans)
  • Discontinue features (with reasonable notice)
  • Perform maintenance (scheduled maintenance will be announced in advance)

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues
  • Force majeure events
  • Third-party service outages

We are not liable for any losses resulting from service unavailability.

5. Payment and Billing

Free Plan

The free plan includes:

  • Limited features and storage
  • No credit card required
  • Can upgrade to paid plan at any time

Paid Plans

When you subscribe to a paid plan:

  • You authorize us to charge your payment method via SafeHaven
  • Billing occurs monthly or annually based on your selection
  • All fees are in Nigerian Naira (₦) and include applicable taxes

Payment Processing

  • Payments are processed securely by SafeHaven
  • We do not store your payment card details
  • You are responsible for ensuring sufficient funds
  • Failed payments may result in account suspension

Refunds

  • Monthly plans: No refunds for partial months
  • Annual plans: Pro-rated refund within first 30 days (minus ₦5,000 processing fee)
  • Usage-based charges: No refunds (SMS messages, etc.)

To request a refund, contact <[email protected]> within the applicable timeframe.

Tax

You are responsible for all applicable taxes. We collect and remit VAT as required by Nigerian law.

6. User Responsibilities

Acceptable Use

You agree to use Pulsac only for lawful business purposes and not to:

  • Violate any Nigerian or international laws
  • Infringe intellectual property rights
  • Transmit malware or malicious code
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer or decompile our software
  • Use automated tools to scrape or access our services
  • Interfere with other users' access
  • Create false or misleading business records
  • Send spam or unsolicited messages via our SMS platform

Content Ownership

You retain ownership of all data you enter into Pulsac ("Your Content"), including:

  • Business information
  • Client and employee data
  • Financial records
  • Inventory data

By using Pulsac, you grant us a limited license to:

  • Store and process Your Content to provide our services
  • Create backups and maintain service integrity
  • Generate anonymized, aggregated statistics (not identifiable to you)

Third-Party Data

If you enter data about third parties (clients, employees, suppliers):

  • You must have proper authorization to collect and process their data
  • You must inform them about data processing and their rights
  • You are solely responsible for compliance with data protection laws
  • We act only as a data processor on your behalf

7. Data Protection and Privacy

Our Privacy Policy (available at pulsacweb.com/landing/privacy) explains how we collect, use, and protect your data.

Key points:

  • We comply with the Nigeria Data Protection Regulation (NDPR) 2019
  • You retain ownership of your business data
  • You can export or delete your data at any time
  • We use industry-standard encryption and security measures
  • We do not sell your personal data to third parties

By using Pulsac, you consent to our data practices as described in the Privacy Policy.

8. Intellectual Property

Our Rights

Pulsac and all its components (software, design, logos, documentation) are owned by Makhaniel Innovations Ltd and protected by:

  • Copyright law
  • Trademark law
  • Patent law (where applicable)
  • International treaties

You may not:

  • Copy, modify, or distribute our software
  • Remove any proprietary notices
  • Use our trademarks without permission
  • Create derivative works

Your Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable license to use, modify, and implement them without compensation.

9. Third-Party Services

Pulsac integrates with third-party services:

  • SafeHaven (payment processing)
  • Termii (SMS messaging)
  • Supabase (cloud infrastructure)
  • PostHog (analytics)

Use of these services is subject to their respective terms. We are not responsible for:

  • Third-party service outages
  • Changes to third-party terms or pricing
  • Data breaches at third-party providers
  • Disputes between you and third parties

10. Warranties and Disclaimers

As-Is Service

PULSAC IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

No Guarantees

We do not guarantee that:

  • The service will be error-free
  • Your data will never be lost or corrupted
  • The service will meet your specific needs
  • Third-party integrations will always be available

Backup Responsibility

You are responsible for:

  • Regularly backing up Your Content
  • Maintaining offline copies of critical data
  • Verifying data accuracy

While we maintain backups, they are not guaranteed and should not replace your own backup practices.

11. Limitation of Liability

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, MAKHANIEL INNOVATIONS LTD SHALL NOT BE LIABLE FOR:

  1. Indirect Damages: Loss of profits, revenue, data, or business opportunities
  2. Consequential Damages: Any damages arising from service interruption or errors
  3. Punitive Damages: Regardless of the cause of action

Liability Cap

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Exceptions

These limitations do not apply to:

  • Fraud or willful misconduct
  • Violations of data protection laws that we caused
  • Death or personal injury caused by our negligence
  • Any liability that cannot be excluded under Nigerian law

12. Indemnification

You agree to indemnify and hold harmless Makhaniel Innovations Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of Pulsac
  • Your violation of these Terms
  • Your Content or third-party data you enter
  • Your breach of applicable laws
  • Disputes with your clients, employees, or other third parties

13. Termination

Termination by You

You may terminate your account at any time by:

  • Closing your account in Settings → Account → Delete Account
  • Contacting <[email protected]>
  • Ceasing use and requesting deletion

Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees (after 7 days' notice)
  • Engage in fraudulent or illegal activity
  • Remain inactive for 12+ months (free plans only)

Effect of Termination

Upon termination:

  • Your right to access Pulsac ends immediately
  • You may export your data for 30 days after termination
  • After 30 days, we will permanently delete your data
  • Outstanding fees remain due
  • Sections 6-15 survive termination

14. Dispute Resolution

Informal Resolution

Before filing any legal action, you agree to:

  1. Contact us at <[email protected]>
  2. Provide details of the dispute
  3. Allow 30 days for informal resolution

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Jurisdiction

Any disputes shall be resolved in the courts of competent jurisdiction in Abuja, Federal Capital Territory, Nigeria.

Arbitration Option

For disputes exceeding ₦5,000,000, either party may elect binding arbitration under the Arbitration and Conciliation Act of Nigeria.

15. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Pulsac.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Our failure to enforce any provision is not a waiver of our rights.

Assignment

You may not assign these Terms without our written consent. We may assign our rights to affiliates or acquirers.

Force Majeure

We are not liable for failures caused by events beyond our reasonable control (natural disasters, war, government actions, etc.).

Notices

We will send notices to your registered email address. You are responsible for keeping it current.

Language

These Terms are written in English. Any translations are for convenience only; the English version prevails.
